신라젠, 수액개발사 우성제약 인수합병

신라젠이 우성제약을 흡수합병한다.

회사는 이사회 의결을 통해 지난달 인수한 우성제약을 흡수합병하기로 결정하고, 2분기 내 제반 절차를 마무리한 이후 3분기에 합병을 완료할 계획이다. 남은 절차는 두 회사 사이의 합병계약과 합병 승인 이사회다.

신라젠은 우성제약을 합병 이후 회사 내 주요 사업부로 육성한다는 계획이다. 그간 대형 병원 위주로 임상시험을 진행한 점, 관련 연구 인력과 시스템 보유 등이 회사 매출과 연구 역량에 시너지를 줄 것으로 기대했다.

흡수합병 완료 시 신라젠은 매출 조건을 충족하는 만큼 안정적인 상장을 유지할 수 있을 것으로 전망했다. 특히 의약품 사업 본업으로 매출 조건을 충족하는 점도 회사로선 유리한 지점이다.

회사 관계자는 “소규모 합병 절차로 문제없이 2분기 내 모든 절차가 마무리될 것”이라며 “신라젠은 우성제약의 매출 증대와 개량신약 등 후속 파이프라인 개발을 지원할 예정”이라고 밝혔다.

한편, 수액개발사인 우성제약의 주요 고객처는 대형병원이다. 주력 제품은 아세트아미노펜 성분인 프로파인퓨전주와 뉴아미노펜프리믹스주다. 시장 점유율이 높고 소아 적응증을 확보하고 있다. 또 항바이러스제, 필수 미네랄, 이부프로펜 주사제 등의 제품도 보유하고 있다. 현재 개발 중인 덱시부프로펜 수액제는 동일 물질로서는 전 세계 첫 개발이다. 3년 이내에 개량신약으로 출시가 예상된다.
