삼양홀딩스, 인적분할해 ‘삼양바이오팜’ 신설

삼양홀딩스가 삼양바이오팜을 신설하고, 홀딩스 내 바이오팜그룹을 별도 사업회사로 나눈다.

분할은 삼양홀딩스 주주가 기존법인과 신설법인의 주식을 지분율에 비례해 나눠 갖는 인적분할 방식으로 진행된다. 분할 비율은 순자산 장부가액을 기준으로 정해졌다.

삼양바이오팜은 오는 11월 1일 독립법인을 출범, 같은 달 24일 코스피에 상장을 추진한다. 신주 배정 기준일 전날인 10월 30일부터 변경상장과 재상장일 전날까지 삼양홀딩스의 주식거래는 일시 정지된다.

분할 이후 지주회사인 삼양홀딩스는 엄태웅 대표가 맡는다. 삼양바이오팜은 김경진 대표가 취임할 예정이다. 회사는 이번 인적분할로 지주회사와 사업회사의 정체성을 구분해 의약바이오사업에 대해 가치평가를 받는다는 방침이다.

엄태웅 대표는 “삼양바이오팜의 신설 및 분할로 삼양홀딩스는 순수 지주회사로 자회사 관리 등에 집중하게 된다”라며 “삼양바이오팜은 독립·책임경영을 통해 경영 효율성을 제고할 수 있을 것”이라고 밝혔다.
