신라젠, 우성제약 인수…제약사업부로 흡수합병

신라젠이 우성제약 흡수합병을 마무리했다고 공시했다.

이번 흡수합병은 지난 4월 이사회 의결을 거쳐 진행됐다. 100% 자회사 흡수합병 방식으로, 신주 발행 없이 진행됐다. 합병 이후 우성제약은 신라젠 내 제약사업부로 운영될 예정이다.

우성제약은 국내 대형병원에 수액제를 공급해 온 업체로, 아세트아미노펜 성분의 ‘뉴아미노펜프리믹스주’ 등 소아 적응증을 확보한 수액제에 강점을 보여왔다. 연 매출은 약 80억 원가량. 3분기부터 우성제약의 매출이 신라젠 연결 실적에 반영될 예정이다.

신라젠은 우성제약이 개발 중이던 ‘덱시부프로펜’ 수액제 개발을 서두를 예정이다. 이 제품은 정부 지원 과제로도 선정된 바 있다.

회사 관계자는 “합병은 제약 사업 확장을 위한 전략적 전환점”이라며 “우성제약의 제품과 인프라를 활용해 안정적 수익 기반을 마련하고, 중장기적으로는 개량신약과 주사제 분야 경쟁력도 확보할 것”이라고 밝혔다.
