파마리서치, 지주회사 체제 전환 무산

파마리서치가 회사를 분할키로 한 결정을 철회했다.

8일 파마리서치 정정신고(보고) 공시에 따르면  지난 2025년 6월13일 이사회에서 의약품, 의료기기, 화장품 등의 사업부문을 인적 분할해 사업의 전문성을 강화하고, 지배구조 체제를 개편함으로써 경영 효율성과 기업가치 제고를 도모하고자 분할계획을 결의한 것을 철회하는 내용이다.

회사 측은 이번 분할에 대한 반대주주 및 다양한 이해관계자들과 소통한 결과, 인적분할 및 지주회사 전환 구조에 대한 우려와 지배구조 개편에 따른 주주가치 훼손 가능성에 대한 다양한 의견이 제기됐다고 설명했다.

이에 시장의 신뢰 회복과 주주가치 제고를 위한 장기적 관점에서 본건 분할의 추진 여부를 신중히 재검토한 결과, 분할을 철회하는 것이 바람직하다고 판단해 2025년 7월8일 이사회 결의를 통해 본건 분할계획에 대한 진행 사항 및 분할계획서 일체를 철회하기로 결의했다고 밝혔다.

파마리서치의 8일 오전 기준(11시16분) 주가는 전일대비 3만5천원(6.77%) 오른 55만2천원에 거래되고 있다.

한편 파마리서치는 홈페이지 공지를 통해서도 ‘인절분할 계획 철회’를 밝혔다.

회사는 ‘주주 여러분께 드리는 말씀’을 통해 “지난 6월13일 지주회사 체제로의 전환을 위한 인적분할 계획을 발표했는데, 이는 핵심 사업의 전문성을 강화하고 책임 경영 체계를 공고히 하며, 미래 성장을 위한 전략적 투자 기능을 분리해 조직의 유연성과 실행력을 높이기 위한 결정이었고 궁극적으로는 회사의 중장기 성장 기반을 튼튼하게 하고 주주가치를 지속적으로 높이기 위한 전략적 선택이었다”라고 설명했다.

이어 “분할계획 발표 이후 취지에 공감하며 글로벌 도약을 응원해 주신 주주의 기대가 있었던 한편, 지배구조에 대한 우려, 주주가치 훼손 가능성, 소통의 충분성에 대한 다양한 의견도 제기돼 이러한 의견을 신중히 받아들여 결정을 재검토하게 됐다”며 “이사회 논의 끝에 인적분할 계획을 전면 철회하기로 결정했다. 주주의 다양한 의견을 겸허히 수용하고 보다 주주친화적인 기업으로 나아가는 계기로 삼고자 한 결정임을 이해해달라”고 밝혔다.
